02. Indicative Market Rates & Tickers Disclaimer

Market Ticker Benchmark Notice:

Commodity prices, spreads, and ocean freight transit indicators presented on our digital ticker ribbon and services overview reflect origin FOB/CIF market benchmarks. They are provided solely for indicative evaluation and do not constitute a binding unilateral offer to sell.

Binding commodity prices, delivery schedules, and vessel allocations are established exclusively via signed Full Corporate Offers (FCO), Sales & Purchase Agreements (SPA), or Irrevocable Corporate Purchase Orders (ICPO) with verified banking coordinates.

Division 01 • Software Systems & Web Architectures

Software Development & Architecture Protocols

A. 100% Intellectual Property & Source Code Ownership Handover

Upon final milestone settlement, KARYENT Global Holdings irrevocably assigns and transfers 100% of all intellectual property, source code, database architectures, API schemas, and deployment configurations to the client organization. We enforce a strict Zero Vendor Lock-in standard.

B. Milestone-Based Deliverable Verification

All technical engagements follow structured milestone schedules. Deliverables are submitted for User Acceptance Testing (UAT). Clients have a standard 10-business-day verification window to review code against agreed functional specifications before milestone sign-off.

C. Confidentiality & Non-Disclosure (NDA)

Both parties agree that all business logic, customer records, database credentials, proprietary algorithms, and trade secrets exchanged during scoping or production remain strictly confidential and protected by mutual NDA obligations.

Division 02 • Physical Commodity Trade & Maritime Brokerage

Physical Commodities & Bilateral Brokerage Protocols

A. Success-Based Commission Brokerage Standing

Karyent Trade operates primarily as an agile Export–Import facilitator and commission broker linking verified commercial Buyers with primary producers, refiners, and mills. Karyent Trade does not hold physical title to bulk ocean cargoes unless acting as chartered contract principal under explicit bilateral agreements.

B. Standard 0.5% – 1.5% Bilateral Commission Protocol

Our commercial compensation is earned strictly on successful trade completion via verified success-based commission (typically 0.5% to 1.5% depending on commodity volume and origin). We operate with zero hidden markups.

C. Contractual Protection: ICC NCNDA & IMFPA Enforced

Every trade mandate, buyer allocation, and origin intro is protected under standardized International Chamber of Commerce (ICC) Non-Circumvention, Non-Disclosure & Irrevocable Master Fee Protection Agreements (NCNDA • IMFPA). Any circumventive direct contracting around our desk constitutes an actionable statutory breach.

D. Settlement Protocol: Irrevocable DLC under ICC UCP 600 Rules

Zero Advance Financial Exposure Guarantee:

Buyers never remit advance funds directly into brokerage operating accounts. All financial settlements execute via bank-to-bank Documentary Letters of Credit (DLC) or Bank Escrow conforming strictly to ICC UCP 600 banking rules, payable only against original shipping documents and clean bills of lading.

E. Mandatory Independent Assays (SGS / Bureau Veritas)

No physical cargo is loaded or released without independent laboratory survey certificates issued by accredited international inspectors (SGS, Bureau Veritas, or Alex Stewart), certifying weight, purity, chemical tolerances, and load-port condition.

05. Limitation of Liability & Force Majeure

Neither party shall be held liable for failure or delay in performance caused by events beyond reasonable operational control, including natural catastrophes, sovereign port closures, maritime canal blockades, international sanctions, statutory export bans, or telecommunication grid failures. In all circumstances, total corporate liability shall not exceed the fees paid under the specific governing statement of work or fee agreement.

06. Governing Law & Legal Jurisdiction

These terms and all bilateral contracts are governed by the statutory laws of the Republic of India. In the event of any commercial disagreement, parties agree to first seek amicable executive mediation. Any unresolved disputes shall fall under the competent court jurisdiction in Pune, Maharashtra, India, or international trade arbitration under ICC Rules of Arbitration where stipulated in contract.
